Promoted placement terms

Promoted placements are not yet available. Active Scene does not currently sell paid placement, and there is nothing to buy today. We've published these terms in advance so they're ready when the feature launches. Once promoted placement goes live, the version of these terms in force when you place an order will govern that order.

These Promoted Placement Terms are a business-to-business commercial agreement between Troc Studio Ltd ("we", "us", "our") and the organiser purchasing a promoted placement ("you"). Active Scene (activescene.org) is operated by Troc Studio Ltd, a company registered in England & Wales, company number 17244336, registered office: 4th Floor Radius House, 51 Clarendon Road, Watford, Hertfordshire, England, WD17 1HP. You can reach us at support@activescene.org. By placing an order for a promoted placement, you agree to these terms.

1. Introduction & status

  • A "promoted placement" is a paid service that displays your event or organiser listing more prominently on Active Scene — for example higher on a city or style page, or with a clearly marked "Promoted" badge.
  • Promoted placement is not yet available. These terms are published ahead of launch and will apply to each promoted placement once the feature goes live.
  • These terms sit alongside, and do not replace, the Organiser Portal Terms. Where there is a conflict on the specific subject of paid promotion, these Promoted Placement Terms govern.
  • These terms are commercial and apply to you as a business or organiser acting in the course of business, not as a consumer.

2. Service description

  • A promoted placement buys prominence and badging — it makes an existing, eligible listing easier to find. It does not change the substance of the listing or how we cover events editorially.
  • Promoted placement is not paid editorial. Editorial coverage — city guides, organiser interviews, festival roundups, and any feature content — is never for sale and is never influenced by payment. Anything you pay for is labelled as promoted.
  • Promoted placements are always disclosed as paid. See our Disclosures page for how we mark and separate paid placement from editorial coverage.
  • A promoted placement does not create any partnership, agency, joint venture, or exclusive arrangement between us.

3. Placement description

  • Where it appears:a promoted placement may surface your listing in a more prominent position on relevant pages — for example near the top of a city or style listing, or with a "Promoted" badge on the listing card. The exact positions, formats, and slots available are described in your order or on our pricing page when the feature launches.
  • What it looks like: promoted listings carry a visible label (such as a "Promoted" badge) so dancers can tell paid prominence from organic ranking.
  • Campaign term: each placement runs for the period set out in your order (the "campaign term") — for example a fixed number of days or weeks, or while a specific event is upcoming.
  • Because the product is pre-launch, the precise slots, positions, and formats are described generically here and will be specified in the order or pricing page at launch.
  • Placements are served on a reasonable-efforts basis and may be subject to availability for a given page, period, or slot.

4. Pricing & payment

  • Fees are as set out in your order, quote, or our published pricing page. Pricing is in pounds sterling (GBP, £). We have not yet published pricing; fees will be confirmed in the order or on a future pricing page before you commit to a placement.
  • Unless we agree otherwise in writing, fees are payable in advance of a placement going live.
  • All fees are exclusive of tax. Where applicable, VAT and any other taxes or duties are payable by you in addition to the fees.
  • We do not auto-renew a placement without notice. Any recurring or renewing placement will be clearly described as such in your order, and you will be told before a renewal charge is taken.
  • Late or failed payment may result in a placement not starting, being paused, or being withdrawn.

5. Refund policy

  • Once a placement has run (in whole or in part) for its campaign term, fees for the served portion are non-refundable.
  • If we fail to deliver an agreed placement — for example we do not serve it for the agreed period — we will, at our discretion, provide a pro-rata refund or account credit for the unserved portion.
  • If we decline or remove a placement under section 7 for reasons that are not your fault, we will provide a pro-rata refund or credit for any unserved portion.
  • If we remove a placement because of your breach (for example breach of the Acceptable Use Policy), no refund is due for the portion already served, and we may withhold a refund for the remainder.
  • Refunds and credits are the exclusive remedies for non-delivery, subject to section 12 (Liability).

6. Performance disclaimers

  • We do not guarantee any particular number of impressions, clicks, views, bookings, sign-ups, conversions, ticket sales, or any other outcome from a promoted placement.
  • A promoted placement buys prominence and badging only; results depend on factors outside our control, including the appeal of your event, your pricing, seasonality, and dancer demand.
  • Any metrics, estimates, or reporting we provide (if any) are indicative only, may be approximate, and are not warranties or commitments.

7. Our right to refuse or remove a placement

We may decline, pause, edit the prominence of, or remove any placement at any time, in our reasonable discretion, including where it is or appears to be:

  • illegal, or in breach of any applicable law or regulation;
  • misleading, deceptive, or inaccurate;
  • off-brand, or inconsistent with Active Scene's editorial standards or the tone of the directory;
  • in conflict with our editorial independence or our duty to dancers who rely on the directory;
  • in breach of these terms, the Organiser Portal Terms, or the Acceptable Use Policy; or
  • associated with content or conduct we reasonably consider harmful to users, other organisers, or the platform.

This right is broad and exists to protect our editorial standards and the trust of dancers. Exercising it is not a breach of these terms by us. Where we decline or remove a placement for reasons that are not your fault, we will provide a pro-rata refund or credit for any unserved portion (see section 5). Where the cause is your breach, no refund is due for the served portion.

8. Your obligations & content

  • "Your content" means anything you supply for a placement — event details, descriptions, images, logos, links, and similar.
  • You confirm that you own or have all rights to your content and to grant the licence below, and that your content does not infringe anyone else's rights or breach any law.
  • You grant Troc Studio Ltd a non-exclusive, worldwide, royalty-free licence to display, reproduce, and adapt your content for the purpose of delivering the placement — including resizing, cropping, and excerpting it to fit our formats and badges. This licence lasts for the campaign term and a short period afterwards needed to wind the placement down.
  • You must keep the underlying listing accurate and current — correct dates, times, venues, prices, and styles — and update it promptly when an event changes or is cancelled.
  • You must comply with the Organiser Portal Terms and the Acceptable Use Policy. A breach of either is a breach of these terms.

9. Term & termination

  • Each placement runs for its campaign term as set out in the order.
  • You may cancel a placement before it goes live; once it is live, you may ask us to stop it, but fees for any served portion remain non-refundable (see section 5).
  • We may end a placement immediately under section 7, or on reasonable notice if you breach these terms and (where the breach can be fixed) do not fix it within a reasonable period.
  • Either party may terminate for the other's material breach that is not remedied within 14 days of written notice, or immediately if the other becomes insolvent.
  • On termination or expiry: the placement stops, the display licence in section 8 ends (subject to a short wind-down period), and any accrued fees remain payable. Sections that by their nature should survive — including pricing already due, IP, confidentiality, liability, indemnity, and governing law — continue to apply.

10. Intellectual property

  • Each party keeps ownership of its own intellectual property. Nothing in these terms transfers ownership of any IP.
  • You keep ownership of your content; you grant us only the limited licence in section 8, for the placement only.
  • We keep ownership of Active Scene, the site, its design, badges, and ranking systems; we grant you no rights in them beyond having your placement displayed for the campaign term.

11. Confidentiality

  • Pricing, quotes, order terms, and other non-public commercial information exchanged for a placement are confidential, and each party will keep the other's confidential information secret and use it only to perform these terms.
  • This does not apply to information that is or becomes public through no breach, was already lawfully known, or must be disclosed by law or a regulator.

12. Liability

  • Our total aggregate liability arising out of or in connection with a placement is capped at 1× (one times) the fees you paid us for that placement in the 12 months before the claim.
  • We are not liable for indirect or consequential loss, or for loss of profit, revenue, bookings, goodwill, data, or anticipated savings, however arising.
  • Nothing in these terms excludes or limits liability that cannot be excluded or limited by law — including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

13. Indemnity

  • You agree to indemnify and hold Troc Studio Ltd harmless from any claims, losses, damages, and costs (including reasonable legal fees) arising from your placement content or from the events you run or promote — including any claim that your content infringes someone else's rights, or that your event was misdescribed, unsafe, or unlawful.
  • This indemnity does not apply to the extent a loss is caused by our own breach of these terms, and does not affect any liability that cannot be excluded by law.

14. Changes

  • We may update these terms from time to time. We'll change the "Last updated" date at the top when we do.
  • The version of these terms in force when you place an order for a placement governs that placement. A later change does not retroactively alter a placement you have already bought.

15. Governing law & jurisdiction

These terms, and any dispute or claim arising out of or in connection with them or a placement (including non-contractual disputes), are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
